Summary of the role

The Opportunity

This is a founding board member role at a pre-registration charity. Do Rogha is currently preparing to register as a charity and is recruiting its founding Board of Directors. While the organisation has not yet commenced operations, the concept has been developed through consultation with frontline organisations and is now entering its formal establishment phase. 

You’d be joining at the very first legal step, so this is an opportunity to influence the governance, culture and strategic direction of a charity from its very beginning, helping shape an organisation designed to increase transparency and trust in charitable giving.

Responsibilities of the role

What You’ll Do

  • Review Do Rogha’s constitution and governing documents ahead of incorporation and charity registration
  • Advise on director duties, conflict-of-interest policy, and company/charity law compliance
  • Help establish sound governance practice from the organisation’s first board meeting onward
  • Likely to take on the Secretary role, or chair a governance function, once the board is constituted
  • Share collective legal responsibility, with your fellow directors, for Do Rogha’s governance, finances, and compliance with the Charities Act 2009

Governance, Not Operations

Do Rogha is founder-led day-to-day — partnerships, programme delivery, and operations sit with the Founder. The board’s role is governance: financial oversight, legal compliance, strategic direction, and holding the organisation accountable to its charitable purpose. This is an oversight role, not an operational one.

Requirements

What We’re Looking For

  • Legal, company secretarial, compliance, or governance background — a qualified solicitor is a strong plus but not required if you bring equivalent governance experience
  • Experience helping organisations establish governance frameworks from an early stage would be particularly valuable.
  • Prior experience on a charity or company board is a strong plus, though not essential
  • Ireland-based; able to attend founding board meetings (board meetings will be held primarily online)
